1. Acceptance of Terms

Welcome to StractusAI. By accessing or using our AI-powered data extraction service (the "Service"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with any part of these terms, you may not use our Service.

2. Service Description

StractusAI provides a platform that allows users to upload text or documents and utilize artificial intelligence models (such as those from OpenAI or locally run models like Ollama) to extract structured data based on user-defined schemas. The Service includes features for managing schemas, viewing results, and monitoring usage.

3. Accounts and Registration

To use most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for safeguarding your password and are solely responsible for all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your password or account information.

4. Plans, Credits, and Payments

We offer various subscription plans and credit packages. Details are available on our Pricing page. Using the Service, particularly making calls to AI models, consumes credits based on factors like token usage and model choice.

By purchasing a subscription or credits, you agree to pay the applicable fees. Payments are processed by a third-party payment processor (e.g., Stripe). Subscriptions may auto-renew unless canceled prior to the renewal date. All fees are non-refundable except as required by law or specified in a particular offer.

We reserve the right to change our prices and credit consumption rates. We will provide reasonable notice of any significant changes.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

Use the Service in any way that violates applicable federal, state, local, or international law or regulation.
Submit illegal, harmful, infringing, or offensive content.
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any material.
Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
Engage in any activity that could disable, overburden, damage, or impair the Service or interfere with any other party's use of the Service.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying algorithms of the Service.

6. User Content and Data

You retain ownership of all text, documents, schemas, and other content you submit to the Service ("User Content"). By submitting User Content, you grant StractusAI a worldwide, non-exclusive, royalty-free license to use, process, store, and display your User Content solely for the purpose of providing and improving the Service.

You are solely responsible for your User Content and represent that you have all necessary rights to submit it and grant the license above. You agree not to submit content that infringes third-party rights or violates any laws.

We do not claim ownership over the extracted data generated from your User Content. This extracted data belongs to you.

7. AI Model Usage

The Service utilizes third-party AI models (e.g., OpenAI) and potentially locally run models (e.g., Ollama). Your use of these models through our Service is subject to the terms and policies of those respective providers where applicable. We are not responsible for the output, accuracy, or biases of the AI models themselves. The quality of extraction depends heavily on the model used, the quality of the input text, and the clarity of the schema.

8. Intellectual Property

The Service itself, including its software, design, text, graphics, logos, and underlying technology (excluding User Content and third-party AI models), are the exclusive property of StractusAI and its licensors, protected by copyright, trademark, and other intellectual property laws.

You may not use our trademarks, logos, or trade dress without our prior written permission.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

STRACTUSAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT THE RESULTS OBTAINED (INCLUDING EXTRACTED DATA) WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STRACTUSAI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE (INCLUDING AI MODEL OUTPUT); OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL STRACTUSAI'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO STRACTUSAI FOR THE PAST THREE MONTHS OF THE SERVICE IN QUESTION.

11. Indemnification

You agree to defend, indemnify, and hold harmless StractusAI and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. We may also suspend or terminate the Service for any reason with reasonable notice where feasible.

Upon termination, your right to use the Service will cease immediately. You may terminate your account at any time by contacting us or using account closure features if available. Provisions that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, typically by posting on our website or notifying you via email.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

14. Miscellaneous

These Terms constitute the entire agreement between you and StractusAI regarding our Service and supersede any prior agreements. Our failure to enforce any right or provision will not be considered a waiver. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. You may not assign these Terms without our consent, but we may assign them without restriction.
